Welcome to SDmingle.com ("SDmingle.com" or "SDmingle" or "The Website" or "Site" or "Our Site" or "Us"), you are bound by the Terms Of Agreement that is/are set forth before you. This Website is owned and operated by New Life Ventures Inc. ("New Life Ventures" or New Life Ventures Inc." or "NLV").
This agreement is between you and New Life Ventures Inc. which is required before you can use the site and any other services provided by New Life Ventures Inc.
NLV operates an online dating and personals service that helps connect people. NLV is a company registered in the United States.
Please read our Terms Of Service completely before using our website. By using this site, you are acknowledging and accept and understand all our/these terms and conditions in this agreement. All Terms and Conditions are applicable to everyone who creates an account with a username and valid email address.
1. Eligibility:
You must be over eighteen years of age to register as a member of Our Site. By registering with Us you agree to be bound by the terms and conditions of this Agreement for as long as you maintain a membership.
2. Registration and Subscription:
It is free of charge to register with us and create a membership account. This permits you to try some but not all of our services. To have full access to all services and features you must purchase an Upgraded (Premium) account. We have the right to change the membership fee at any time but, agree to give reasonable notice before any changes take effect. The paid membership plan that you select will run for the stated specified time. The plan will auto renew at the non discounted price (if a special offer was originally presented) and may be cancelled at any time. All paid memberships for The Website are non refundable and on an "as is basis".
3. Term and Termination:
By becoming a member of NLV, you are choosing to start our services immediately. This waives any rights or law of any country, to make use of the option known as 'the cooling off' period, which grants you a period of time to delay the start of the service. You may cancel your membership at anytime by email but your subscription will remain active until the end of the current membership period. Either you or NLV may cancel or terminate your membership at any time, for any reason, upon NLV receiving written notification from you, the other party. NLV reserves the right to terminate or not accept the membership of any individual that our staff deems is not up to the standards of The Website. NLV reserves the right to immediately suspend or terminate a member's access to the service, without notice and without refund upon any breach of this Agreement by the member.
4. Non Commercial Use by Members:
This website is for personal use by the registered member and may not to be used for any commercial use or endeavors. Companies/businesses or profit making organizations may not become members, and should not use this site for any purpose. Illegal, or unauthorized use of the site, including framing of, or linking to the site or the sending of unsolicited commercial email will be investigated, and appropriate legal action will be taken. This is including, and without limitation, criminal, civil and injunctive redress and/or cancellation of membership at NLV's sole discretion. In order to prevent the sending of unsolicited commercial email or chat messages to its members, NLV may take reasonable steps, including the limiting of the amount of emails or IM chat messages sent or received by a single member and electronically filtering or terminating email.
5. Proprietary Rights in Content on SDmingle.com:
NLV retains all proprietary rights in the website material, except where permission is given or that the content is in the public domain. You may not copy, modify, publish, distribute, transmit, perform, reproduce, sell, or re-sell any such intellectual property or proprietary information. Any failure to follow by these rules will result in the appropriate legal action being taken.
6. Content Posted on the Site:
- Any information posted on The Website must be accurate in both a visual and literal sense.
- All information must be verifiable and known to at least one individual other than you. All information posted will be deemed as non proprietary and non confidential. - Any Commercial activities without the permission of NLV are prohibited.
- All external laws of the website are applicable to the conduct of members on NLV.
- You shall not under any circumstances include in your member profile, URL's, full or family names, addresses, email addresses, or text that is suggestive of an email address, external direction, by URL, or 'any' other means to another website or destination that contains information about you or information related to contacting you.
- You may not advertise for activities or events of a similar nature created for networking for a commercial/business purpose.
- It is a major violation of our terms and conditions to solicit, harass or harm any member based on the information that has been displayed by means of NLV. Under no circumstances, is it allowable to advertise or sell to any member on The Website without the prior consent of NLV.
- The management of NLV reserves the right to remove any photograph that it deems to be of professional quality as seen in advertisements or magazines. The well being and security of our membership shall be of the utmost importance and therefore, the judgment and decision of our editorial staff shall be the final word. NLV may in some instances request a member to send an additional photograph, that when placed with the photograph in question will convincingly validate its authenticity. These additional photographs, again will be accepted solely on the judgment of the editorial staff of NLV.
7. Prohibited Activities and Content:
- You will not impersonate any person, business or company.
- You are not to make any statements or comments that implies you are being endorsed by NLV.
- You will not harass any members of this service in any way, and you agree not to use offensive and/or vulgar language or make any unusual or offensive sexual requests when corresponding with other members of this service unless mutually agreed upon as evidenced by prior contact on The Website.
- It is strictly prohibited to use this site as an escort service.
- It is prohibited to post any advertisements or URL's for sites that are not this site.
- You will not direct members to any outside sites or send your email address in your first contact.
- Any attempt to advertise any business or event or service will result in your account being cancelled or suspended without warning.
- You will not provide material that exploits or demeans any race, individual or group.
- As we do not monitor all messages, any comments made through our email system service are the responsibility of the sender. NLV makes no claim to acknowledge their suitability or acceptance and therefore takes no responsibility for any subsequent repercussions.
- You will not hold NLV, liable for any legal, financial, or any other claim resulting from the use of this service. NLV operates as an online dating service and will not be held accountable or liable for any interaction between its members.
8. Account Security:
You have sole responsibility for the content within your personal Website profile. It is your responsibility to contact us immediately of any unauthorized activity within your account. The security of your log in information is your responsibility, not ours. NLV will not be liable for any loss encountered as a result of unauthorized activity within your account.
9. Customer Service:
NLV provides facilities such as Public Forums and standard email contact through the 'contact us' facilities. These facilities should be deemed as 'for entertainment purposes only.' For each feature we take no responsibility for any circumstances arising from such functionalities and will not be claimed upon in any way for actions resulting from their content.
10. Copyright Policy:
You may not post, distribute or reproduce any content without obtaining prior consent of the owner of such proprietary rights. Written content on The Website is copyrighted.
11. Member Disputes:
We are not responsible for any conflicts or issues which may arise between you or any other members of The Website. You are responsible for any interactions you may have with other members and cannot hold NLV responsible for anything that may arise from such interactions.
12. Service Access:
NLV will not be held liable for any interruption in service caused by power outages, computer viruses, or any communication failures, and NLV does not guarantee that service will be uninterrupted or error free.
13. Disclaimers:
You agree to defend, indemnify, and hold harmless NLV, and all related staff, employees, consultants, advisors, officers, representatives and third parties from your use of this service. Including, but not limited to any violation of the rules within this agreement, or any claim that the information which you post infringes upon the intellectual property rights (such as trade secrets, patents, copyrights etc...) of any third party. This also includes such information that libels, disparages or is an invasion of the privacy of any third party. We may alter our terms and conditions without notice at anytime we choose and you will be deemed as acknowledging such changes by your continuation of membership with our site.
14. NLV does not:
NLV does not take responsibility for checking the accuracy of any information posted on this site by another party or its members. Nor do we screen the content of any information provided or guarantee the proper use of such information by any party, including its members. You cannot become a member of NLV without accepting this agreement.
15. Limitation on Liability:
NLV is excluded from any direct or indirect loss from using the services of this site. NLV is not liable for any legal action taken between third parties on this site. If a claim is brought against you for any actions on this site you agree to hold harmless and defend NLV in any claim or action.
